IN THE MATTER OF CONDUCT AND USAGE ON THE GOODEALS E-COMMERCE PLATFORM ACCEPTABLE USE POLICY (AUP) Effective Date: 17 October 2025 ARTICLE 1: PREAMBLE AND BINDING NATURE 1.1. This Acceptable Use Policy ("AUP") is an integral part of the GOODEALS General Terms of Service and is legally binding on all Users of the Platform. Its purpose is to define the boundaries of permissible conduct and to prohibit activities that are illegal, harmful, or otherwise detrimental to the GOODEALS community. 1.2. Ignorance of this policy shall not constitute a defense against its enforcement. By using the GOODEALS Platform, you agree to abide by this AUP in its entirety. ARTICLE 2: PROHIBITED CONDUCT AND CONTENT The following is a non-exhaustive list of activities and content that are strictly forbidden on the GOODEALS Platform. Engaging in any of these activities will subject the User to immediate investigation and potential sanctions, as outlined in Article 4. 2.1. Illegal and Fraudulent Activities: a. Sale of Prohibited Goods: Listing, offering for sale, or transacting in any goods or services that are illegal under the laws of the Federal Republic of Nigeria, including but not limited to counterfeit goods, narcotics, unlicensed firearms, and stolen property. b. Financial Fraud: Engaging in any form of fraudulent activity, including the use of stolen payment information, price manipulation, money laundering, or participating in pyramid schemes or other financial scams. c. Impersonation: Creating accounts or communicating under a false identity or impersonating any person or entity, including a GOODEALS employee or representative. 2.2. Intellectual Property Infringement: a. Copyright and Trademark Violations: Posting, listing, or selling any content or item that infringes upon the copyright, trademark, patent, or other intellectual property rights of a third party. This includes the sale of counterfeit or "replica" items. 2.3. Harmful, Abusive, and Offensive Content: a. Harassment and Threats: Engaging in harassment, bullying, intimidation, or making threats of violence against any other User or GOODEALS staff. b. Hate Speech and Discrimination: Posting or promoting content that is discriminatory, defamatory, or incites hatred or violence against individuals or groups based on race, ethnicity, religion, gender, sexual orientation, disability, or any other protected characteristic. c. Obscene and Pornographic Material: Uploading or distributing any content that is sexually explicit, pornographic, or gratuitously violent. 2.4. Platform Integrity and Security Violations: a. Spam and Unsolicited Communications: Sending unsolicited promotional or commercial content, or engaging in any activity that constitutes "spam." b. Malicious Software: Distributing viruses, malware, trojan horses, worms, or any other software intended to damage, interfere with, or intercept any system, data, or personal information. c. Data Mining and Scraping: Using any automated means (e.g., bots, scrapers) to access the Platform for any purpose, such as collecting data or content, without our express written permission. d. System Interference: Taking any action that imposes an unreasonable or disproportionately large load on our technical infrastructure, or attempting to circumvent any security measures we have in place. ARTICLE 3: REPORTING OF VIOLATIONS 3.1. GOODEALS relies on its community of Users to help maintain the integrity of the Platform. If you encounter any content or activity that you believe violates this AUP, you are strongly encouraged to report it immediately. 3.2. Reports can be made through the designated "Report this Item" or "Report this User" feature on the Platform, or by contacting our Trust & Safety team directly at trust@goodeals.com.ng. ARTICLE 4: ENFORCEMENT AND CONSEQUENCES 4.1. Upon receiving a report or otherwise becoming aware of a potential violation, GOODEALS reserves the right to investigate the matter at its sole discretion. 4.2. Should a User be found in violation of this AUP, GOODEALS may take one or more of the following actions, depending on the severity of the infraction: a. Issuing a formal warning. b. Removing the offending content or product listing. c. Imposing a temporary suspension on the User's account. d. Ordering the permanent termination of the User's account and access to the Platform. e. Cooperating fully with law enforcement authorities and reporting any suspected criminal activity. 4.3. GOODEALS shall be the sole arbiter in determining whether a violation of this policy has occurred. ARTICLE 5: AMENDMENTS 5.1. This AUP may be updated from time to time to address new and emerging threats. We will provide notice of significant changes, but it remains your responsibility to review this policy periodically. Your continued use of the Platform constitutes acceptance of any and all revisions. By using this Platform, you affirm your commitment to upholding this Acceptable Use Policy.
