BUYER TERMS AND CONDITIONS

ARTICLE 1: PREAMBLE & AGREEMENT

1.1. This document ("Buyer Terms") constitutes a legally binding contract between you, the User acting as a buyer ("Buyer," "you," "your"), and GOODEALS, a business operating in the Federal Republic of Nigeria whose incorporation with the Corporate Affairs Commission is currently in progress ("GOODEALS," "we," "us," "our").

1.2. These Buyer Terms govern your access to and use of the GOODEALS Platform for the purpose of purchasing goods ("Goods"). By creating a buyer account or completing a purchase, you unequivocally agree to be bound by these terms.

1.3. These terms incorporate by reference, and are to be read in conjunction with, our General Terms of Service, Privacy Policy, Acceptable Use Policy, and Return and Refund Policy. Should any conflict arise, the provisions of these Buyer Terms shall prevail in matters concerning a purchase.

ARTICLE 2: THE ROLE OF GOODEALS AS A MARKETPLACE

2.1. It is hereby declared and understood that GOODEALS is a marketplace platform that facilitates transactions between independent third-party sellers ("Vendors") and Buyers.

2.2. The Contract of Sale: The contract for the purchase of Goods is formed directly and exclusively between you, the Buyer, and the Vendor. GOODEALS is not a party to this contract, nor does it assume any responsibility arising out of or in connection with it. GOODEALS acts solely as a commercial agent for the Vendor to the extent of facilitating the transaction.

2.3. The Vendor, not GOODEALS, is solely responsible for the sale of the Goods, including but not limited to, the quality, safety, authenticity, and legality of the items, as well as the accuracy of the product listings.

ARTICLE 3: BUYER ACCOUNT AND OBLIGATIONS

3.1. To make a purchase, you may be required to register for an account. You warrant that all information you provide during registration is true, accurate, current, and complete.

3.2. You are solely responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. You agree to notify GOODEALS immediately of any unauthorized use of your account.

ARTICLE 4: ORDERING AND THE FORMATION OF CONTRACT

4.1. Placing an Order: An order you place on the Platform constitutes a formal offer to purchase the specified Goods from the Vendor at the indicated price, subject to these Buyer Terms.

4.2. Order Acceptance: The contract of sale between you and the Vendor is concluded only when the Vendor formally accepts your order and the order status is updated to "Confirmed" or "Shipped" on the Platform. A preliminary order confirmation email from GOODEALS does not constitute acceptance by the Vendor.

4.3. The Vendor reserves the right to decline or cancel an order for any reason, including but not limited to, stock unavailability or errors in product pricing or information. In such an event, any payment already made will be fully refunded to you.

ARTICLE 5: PRICING AND PAYMENT OBLIGATIONS

5.1. All prices are listed in Nigerian Naira (NGN) and are inclusive of any applicable Value Added Tax (VAT). Delivery costs are charged separately and will be clearly indicated during the checkout process.

5.2. You are obligated to complete payment for any order you place. Payment can be made via the methods available on the Platform, which may include payment by card or Pay on Delivery.

5.3. By providing payment information, you represent and warrant that you are authorized to use the designated payment method.

ARTICLE 6: DELIVERY OF GOODS

6.1. The Vendor is responsible for the shipping and delivery of the Goods you have purchased.

6.2. Delivery timelines provided on the Platform are estimates only. While Vendors are expected to meet these estimates, delays may occur.

6.3. The risk of loss or damage to the Goods passes to you upon your, or a third party designated by you, taking physical possession of the Goods.

6.4. All matters concerning delivery are further detailed in our Shipping and Delivery Policy.

ARTICLE 7: RETURNS, REFUNDS, AND DISPUTES

7.1. In accordance with the Federal Competition and Consumer Protection Act (FCCPA), you have rights regarding goods that are defective, not as described, or not fit for purpose.

7.2. The procedure for returning an item, eligibility for a refund, and the applicable timelines are explicitly governed by our Return and Refund Policy, which is a binding part of this agreement.

7.3. Should a dispute arise between you and a Vendor that cannot be resolved amicably, you agree to follow the process outlined in our Dispute Resolution Policy.

7.4. Nothing in Article 7 requires you to exhaust our internal process before complaining to the Federal Competition and Consumer Protection Commission (FCCPC) or commencing proceedings.

ARTICLE 8: LIMITATION OF LIABILITY

8.1. YOUR STATUTORY RIGHTS COME FIRST. Nothing in this Article excludes, restricts, or modifies any right or remedy you have under the FCCPA, the Nigeria Data Protection Act, or any other law that cannot lawfully be excluded by agreement. Where a provision of this Article conflicts with such a right, that provision does not apply to the extent of the conflict.

8.2. Subject to Article 8.1, GOODEALS is not liable for indirect, incidental, special, or consequential loss, including loss of profits or revenue, arising from your use of the Platform or the purchase of Goods from a Vendor.

8.3. Subject to Article 8.1, and except in cases of death or personal injury caused by our negligence, fraud, or fraudulent misrepresentation — for which our liability is not limited — our total liability in any matter arising out of these Buyer Terms is limited to the amount you paid for the Good(s) giving rise to the claim.

8.4. Article 8.3 does not cap a refund owed to you for Goods you paid for and did not receive, or which were defective, unsafe, counterfeit, or materially not as described. Such refunds are payable in full.

ARTICLE 9: GOVERNING LAW AND JURISDICTION

9.1. These Buyer Terms and any dispute arising in connection with them are governed by the laws of the Federal Republic of Nigeria.

9.2. As a consumer you may bring proceedings in the courts of the Nigerian State in which you reside, or in the courts of Cross River State. We will bring proceedings against you only in the courts of the State in which you reside. Nothing in these Buyer Terms requires you to travel outside your own State to enforce your rights.

ARTICLE 10: HOW YOU ACCEPT THESE TERMS

10.1. You accept these Buyer Terms by ticking the acceptance box when you create your account. We record the version you accepted and the date and time of acceptance, and will provide that record on request.

10.2. If we amend these Buyer Terms we will give you notice before the change takes effect, and amendments do not apply retrospectively to orders already placed.
