IN THE MATTER OF INTELLECTUAL PROPERTY RIGHTS ON THE GOODEALS E-COMMERCE PLATFORM

INTELLECTUAL PROPERTY POLICY

Effective Date: 17 October 2025

ARTICLE 1: STATEMENT OF PRINCIPLE

1.1. GOODEALS NIGERIA LTD. ("GOODEALS," "we," "us") respects the intellectual property rights of others and demands that all Users of our platform ("Platform") do the same.

1.2. The unauthorized use of third-party trademarks or copyrighted material is a serious violation of our policies and the laws of the Federal Republic of Nigeria.

1.3. This Policy provides the official procedure for intellectual property rights holders ("Rights Holders") to report alleged infringements and for GOODEALS to address such claims. This Policy is an integral part of our Acceptable Use Policy and Vendor Agreement.

ARTICLE 2: PROHIBITED ACTIVITIES

2.1. It is strictly forbidden for any User, particularly Vendors, to list, promote, or sell any item that infringes upon the copyright or trademark of a third party.

2.2. This prohibition explicitly includes, but is not limited to: a. Counterfeit Goods: Products that are unauthorized copies, replicas, or imitations of authentic products. b. Copyright Infringement: The unauthorized use of copyrighted content, such as images, text, or branding, in product listings and descriptions.

ARTICLE 3: PROCEDURE FOR REPORTING INFRINGEMENT

To ensure the validity and efficiency of a claim, all reports of infringement must adhere to the following procedure.

3.1. Notice of Infringement: If you are a Rights Holder or an agent authorized to act on their behalf, you must submit a formal "Notice of Infringement" to our legal compliance team.

3.2. The Notice must be sent via email to: ip.claims@goodeals.com.ng

3.3. The Notice must be a formal written communication and must include the following information in its entirety: a. The full legal name and contact information (address, telephone number, and email address) of the Rights Holder. b. A clear identification of the intellectual property that is claimed to be infringed (e.g., trademark name and registration number; a description of the copyrighted work). c. A specific and direct URL link to each product listing on the GOODEALS platform that is alleged to be infringing. General complaints or links to a vendor's entire store are not acceptable. d. A statement declaring that you have a good faith belief that the use of the material in the manner complained of is not authorized by the Rights Holder, its agent, or the law. e. A statement, made under penalty of perjury, that the information in your Notice is accurate and that you are the Rights Holder or are authorized to act on their behalf.

ARTICLE 4: GOODEALS'S ACTION UPON RECEIPT OF NOTICE

4.1. Upon receipt of a valid and complete Notice of Infringement, GOODEALS will act expeditiously.

4.2. Takedown: We will promptly remove or disable access to the product listing(s) identified in the Notice.

4.3. Notification to Vendor: We will formally notify the accused Vendor of the takedown action and provide them with a copy of the Notice of Infringement.

ARTICLE 5: REPEAT INFRINGER POLICY

5.1. GOODEALS operates on a "three-strikes" basis for intellectual property infringement.

5.2. A Vendor who is the subject of three (3) separate and valid Notices of Infringement will be deemed a Repeat Infringer.

5.3. The account of any Vendor classified as a Repeat Infringer will be subject to permanent suspension and termination from the GOODEALS platform.

ARTICLE 6: DISCLAIMER

6.1. GOODEALS is not a judicial body and cannot adjudicate complex legal disputes between third parties. Our role is to act upon valid notices as described in this Policy.

6.2. The final resolution of a dispute may require the Parties to seek resolution before a court of competent jurisdiction.

This policy is instituted to uphold the law and maintain the integrity of the GOODEALS marketplace.
